Personal Data and General Confidentiality Agreement

1. Introduction

This Personal Data and General Confidentiality Agreement (“Agreement”) is made between GITC (the “Company”) and the Client (“Client”). The purpose of this Agreement is to outline the obligations of both parties regarding the handling of personal data and confidential information in compliance with applicable data protection laws, including the GDPR.

2. Definition of Confidential Information

Confidential Information refers to any information, data, or materials shared by the Company or the Client, including but not limited to:

  • Personal data, as defined by the GDPR, including names, contact information, and financial data.
  • Proprietary information related to Company services, technologies, clients, business plans, or financial details.
  • Any other information marked as confidential or reasonably understood as confidential.

3. Personal Data Protection

3.1 Collection and Use of Personal Data

The Company collects and processes personal data solely for purposes related to the provision of hosting and IT services. Personal data will be processed lawfully, fairly, and transparently, ensuring it is only used for its intended purpose.

3.2 Data Security

GITC is committed to maintaining appropriate technical and organizational measures to protect personal data against unauthorized access, loss, alteration, or disclosure. This includes secure storage, restricted access, and regular reviews of data security practices.

3.3 Data Retention

Personal data will be retained only as long as necessary for the purposes it was collected, or as required by law. Afterward, the data will be securely deleted or anonymized.

3.4 Data Rights

Clients have the right to request access to, correction, or deletion of their personal data, as well as the right to data portability, data processing restrictions, or to object to data processing. Requests should be directed to info@gitc.services.

4. Confidentiality Obligations

Both parties agree to:

  • Keep all Confidential Information private and secure, using it only for purposes specified in this Agreement.
  • Limit access to Confidential Information to employees, agents, or subcontractors who require it to fulfill their responsibilities, ensuring they comply with confidentiality obligations.
  • Not disclose Confidential Information to any third party without prior written consent, except as required by law or regulation.

5. Exclusions

Confidential Information does not include information that:

  • Is publicly available through no breach of this Agreement.
  • Is lawfully acquired from a third party not bound by confidentiality obligations.
  • Was independently developed by the receiving party without using or referencing the Confidential Information.

6. Breach of Confidentiality

In case of a suspected or actual breach of confidentiality, the Client or Company must notify the other party immediately and take reasonable measures to mitigate any potential damage. Any unauthorized access, disclosure, or misuse of Confidential Information may result in legal action.

7. Amendments

This Agreement may be updated to ensure continued compliance with applicable laws and regulations. Clients will be notified of significant changes, and continued use of the Company’s services signifies acceptance of updated terms.

8. Governing Law

This Agreement is governed by the laws of Denmark, and any disputes arising from it will be resolved in Danish courts.
